Moukhtar Ahmed, President, Scientific Segment of Clarivate plc (the “Company”) will leave its post, as of April 1, 2022. After this date, Mr. Ahmed will remain available on an advisory basis until October 1, 2022.

The Company’s press release dated January 10, 2022 announcing this change in management is attached hereto as Exhibit 99.1.

At January 7, 2022, the Company has entered into a separation agreement with Mr. Ahmed. The separation agreement includes the usual terms and conditions and provides that Mr. Ahmed is entitled to the following: (i) cash, consisting of severance pay and a prorated portion of his 2022 bonus, in a total amount of approximately $ 2,406,000 (converted from pounds (GBP) at the exchange rate on
January 7, 2022) payable a) a third party within 30 days October 1, 2022 and (b) the remaining two-thirds paid in four quarterly installments after October 1, 2022; and (ii) the accelerated acquisition of 28,591 unvested restricted stock units. In addition, the period during which the purchased stock options may be exercised will be extended to December 31, 2024.
