Article 5.02 Departure of directors or certain officers; Election of directors; Appointment of certain officers; Compensatory provisions of certain executives.

(b) Daniel A. DuPré, executive officer named in the most recent management proxy circular filed on March 11, 2022 by Federal Signal Company (the “Company”), will retire from his current position as Vice President, General Counsel and Corporate Secretary effective April 26, 2022. Mr. DuPré, who will continue to be employed by the Company, will be replaced by Diane Boninaas effective
April 26, 2022.

Before joining the Company, Ms Bonina worked at AT&T Inc. (“AT&T”), where she served as Assistant Vice President – Senior Legal Counsel. At AT&T, Ms Bonina has held a wide range of roles with increasing legal and management responsibilities since 1996, both for AT&T and its predecessors. Before that, Ms Bonina worked as an attorney at Jenner & Block in its litigation department from 1990 to 1996, and also served as a law clerk for the Honorable Cornelia G. Kennedy from United States Court of Appeals for the Sixth Circuit in Detroit, Michigan. Ms Bonina graduated from University of Michigan Law School in 1989, and Dartmouth College in 1985.
