ARTICLE 7.01 DISCLOSURES OF THE FID REGULATIONS Attached as Exhibit 99.1 and incorporated in this Item 7.01 by reference is our press release relating to the dividend referred to in Item 8.01 below. In addition, at its quarterly meeting today, our Board of Directors established May 24, 2022 as the date of the 2022 Annual Meeting of Shareholders to be held at our head office in Birmingham, Alabama. The recording date of the meeting is March 28, 2022.

ITEM 8.01 OTHER EVENTS On December 1, 2021, our Board of Directors declared a regular dividend of $ 0.05
per common share payable on January 7, 2022 to shareholders registered with
22 December 2021. Our dividend policy provides for a total annual dividend of
$ 0.20 per share, payable in equal quarterly installments. Any decision to pay future cash dividends will be subject to the board’s final decision after a full review of the company’s financial performance, future expectations and other factors deemed relevant by the board.
